These Terms & Conditions explain how quotations, production, payment, delivery, and after-sales service are handled to ensure seamless cooperation for international OEM & wholesale orders.

Quotations
- All quotations are valid for the period specified in the quotation.
- Prices are based on current material costs and foreign exchange rates.
- Prices may be adjusted before formal order confirmation if significant market fluctuations occur.
Minimum Order Quantity (MOQ)
- Different products have specific MOQ requirements based on production setup and material batching.
- OEM and customized products may require higher minimum quantities depending on branding and tooling specifics.
Payment Terms
- Standard Payment Terms: 30% deposit upon order confirmation, and the remaining 70% balance payable before shipment.
- Large-scale projects or long-term cooperation agreements may have customized payment arrangements, subject to mutual agreement with our sales and finance team.
Production Time
- Production lead time depends on product type, order quantity, raw material availability, and OEM customization requirements.
- Estimated production lead times provided in quotations are for reference only and will be officially confirmed upon deposit receipt.
Product Storage
Finished goods will be stored free of charge for up to 30 calendar days after production completion.
If shipment is delayed by the customer beyond this period, reasonable storage charges may apply based on warehouse occupancy and storage duration. Customers will always be notified in advance before any storage fees are applied.
Packaging
- Products are securely packed in accordance with professional international export standards to ensure safe transit.
- Customized packaging solutions (such as private-label master cartons or retail gift boxes) are available upon request.
- Additional packaging costs may apply for bespoke or specialized branding materials.
Shipping
- Customers may choose from multiple international shipping terms based on their supply chain preference, including FOB, EXW, CIF, or DDP (where supported).
- Shipping schedules, vessel or flight bookings, and transit times depend on freight carrier availability and destination port conditions.
Inspection
- Customers are strongly encouraged to thoroughly review and confirm product specifications, samples, and drawings before mass production begins.
- Detailed inspection photos or videos can be provided before shipment upon request to verify product quality and packaging status.
Product Acceptance
Any quality concerns, quantity discrepancies, or transit damages must be reported within 7 days after receipt of goods.
All claims must be accompanied by relevant photos, videos, or official inspection reports to facilitate prompt verification and resolution.
Warranty
- Product warranty applies strictly to verified manufacturing defects under normal operating conditions.
- Damage caused by improper installation, misuse, unauthorized modification, neglect, or external accidents is strictly excluded from warranty coverage.
OEM & Confidentiality
- All customer drawings, logos, private labels, specifications, and technical documents will be kept strictly confidential.
- We are fully committed to protecting your proprietary designs, brand assets, and intellectual property throughout the entire manufacturing and partnership process.
Intellectual Property
- The customer retains full and exclusive ownership of all proprietary logos, trademarks, brand assets, and customized artwork.
- Guangzhou Kenawei Audio manufactures products strictly based on verified customer authorization and specifications, and will not use or distribute client-owned intellectual property for any unauthorized purposes.
Force Majeure
- Neither party shall be held liable for any failure or delay in fulfilling obligations if such failure arises from events beyond reasonable control.
- Covered events include, but are not limited to, natural disasters, war, government restrictions, pandemics, severe raw material shortages, or major transportation and port disruptions.
Limitation of Liability
- Our maximum aggregate liability for any claim, loss, or damage arising out of or relating to an order shall not exceed the total invoice value of the affected products.
- We shall not be held liable for any indirect, incidental, or consequential losses, including lost profits or business interruption.
Governing Law
- These Terms & Conditions and all related business transactions shall be governed by and interpreted in accordance with applicable laws and international trade regulations.
- Any disputes arising from cooperation shall be resolved amicably through friendly consultations between both parties.
Supplementary Trade Clauses
01. Order Changes
Any modifications to quantity, specifications, or delivery schedules must be requested in writing. Changes are subject to feasibility review and may affect production timelines and costs.
02. Custom Products
Bespoke or customized products engineered to unique specifications cannot be canceled, modified, or returned once production has officially commenced.
03. Sample Policy
Samples can be provided prior to bulk production for evaluation. Sample fees and express shipping costs are generally borne by the buyer, which may be credited against future bulk order values.
04. Claims & Returns
Returns or replacements are strictly limited to verified manufacturing defects reported within the designated inspection timeframe. Unauthorized returns will not be accepted.
05. Communication & Documentation
All formal confirmations, approvals, and technical amendments must be executed via official email or written documentation to serve as valid records for order execution.
